Description	The authors consider it necessary to deal with specific characteristic of cooperative shareholder bonds as well as with existing practice applied by cooperative farms to limitations on their transferability. The autors (based on the identification of these bonds as well as based on the nature of private legal relations) deal with the possibilities of attaching pre-emption rights to these bonds, whereas they in a greater focus on the possibility of their creation in the articles of association of a respective cooperative farm, which constitute an agreement sui generis. Howewer, as a result of a subsequent analysis of the legal nature of articles, ownership rights to cooperative shareholder bonds and as a result of the decision-making process on the attachment of the pre-emptive right to these bonds, the authors come to a conclusion that the pre-emption right to the cooperative shareholder bonds cannot be created by their issuer's articles of association. (en) Autori nastoľujú potrebu odborného zamyslenia sa nad špecifikami družstevných podielnických listov (DPL), ako i jestvujúcou praxou družstiev vo vzťahu k obmedzeniam prevoditeľnosti DPL. Z identifikácie DPL, ako predmetu súkromoprávnych vzťahou, autori vyvodzujú stanovisko o možnosti zriadenia zmluvného predkupného práva k DPL, pričom sa bližšie venujú otázke možnosti jeho zriadenia v samotných stanovách družstva, ktoré sú zmluvou sui generis. Následnou analýzou právneho charakteru stanov, vlastníckeho práva k DPL a rozhodovacieho procesu o zriadení predkupného práva k DPL, však dospievajú k záveru o nemožnosti zriadenia predkupného práva k DPL samotnými stanovami ich emitenta.
