Description	Obsahem tohoto příspěvku je otázka přednosti svobody usazování obchodních společností před právní úpravou v jednotlivých členských státech a negativní důsledky s tím spojené. V souvislosti s tímto, se daný článek zabývá stanovisky Evropského soudního dvora jako Daily Mail, Centros či Inspire Act a základními rozdíly v právních úpravách některých členských států. Tímto chce autor upozornit na nepřipravenost členských států na přednost komunitárního práva v této oblasti. Obsahem tohoto příspěvku je otázka přednosti svobody usazování obchodních společností před právní úpravou v jednotlivých členských státech a negativní důsledky s tím spojené. V souvislosti s tímto, se daný článek zabývá stanovisky Evropského soudního dvora jako Daily Mail, Centros či Inspire Act a základními rozdíly v právních úpravách některých členských států. Tímto chce autor upozornit na nepřipravenost členských států na přednost komunitárního práva v této oblasti. (cs) The content of that paper deals with the question of the priority of the settlement freedom of the company to legal regulation of the individual member states and with the negative consequences that follow that priority. In connection with this, the mentioned paper deals with the European Court of Justice point of view stated, for example: in Daily Mail, in Centros or in Inspire Act, and with the fundamental differences in the legal regulations of some member states. The author of that paper would like to give a notice by means of that above-mentioned European Court of Justice cases and stated legal regulation of some member states on the unpreparation of that member states to manage to carry burden of the negative consequences of the priority of the settlement freedom in this area.
