Description	The recent amandment of the Commercial Code of the Czech Republic in force from 01. 01. 2001 brings no principal changes in the lregal regulation of the co-operatives. However it affects many provisions both in the general part of the Code and in the part dealing with co-operatives as a specific enterpreneurial person. However, many of the provisions affectcted by the amandment give rise to some doubts as to their applicability in practise and to the effeciency of the amended legal rules. The concept of the modifications brings co-operatives closer to the position of business companies and many of the new rules bring unclearness and uncertainty as to their interpratation and application. The aim af the paper is to draw attention to some of these problems with a view to their low efficiency. (en) Novela obchodního zákoníku platná od 1. 1. 2001 v ČR, nezměnila zásadní právní úpravu družstev, ale dotkla se významnou měrou mnohých ustanovení jak v obecné části zákona, tak části upravující družstva jako specifický podnikatelský subjekt. Mnohá ustanovení, dotčená novelou, však vzbuzují určité pochybnosti jak o jejich praktickém využití, tak o efektivnosti novelizované právní úpravy. Koncepce změn opět přibližuje družstvo postavení obchodních společností a mnohá nově vložená ustanovení se vyznačují nejasností a neurčitostí s předpokladem výkladových a praktických problémů. Cílem příspěvku bylo upozornit na některé výkladově problematické a možné neefektivní úpravy.
