Description	Příspěvek se zabývá v ekonomické teorii i praxi často diskutovanou problematikou efektivního vymezení vlastnických práv, jež má přímý vliv na utvoření efektivního corporate governance a důsledků z nich vyplývajících na fungování podniků. Česká republika měla na počátku devadesátých let jedinečnou příležitost projít procesem nového uspořádání vlastnictví v české ekonomice, a tak prakticky potvrdit či vyvrátit závěry celé řady teoretických přístupů. Příspěvek se zabývá v ekonomické teorii i praxi často diskutovanou problematikou efektivního vymezení vlastnických práv, jež má přímý vliv na utvoření efektivního corporate governance a důsledků z nich vyplývajících na fungování podniků. Česká republika měla na počátku devadesátých let jedinečnou příležitost projít procesem nového uspořádání vlastnictví v české ekonomice, a tak prakticky potvrdit či vyvrátit závěry celé řady teoretických přístupů. (cs) The contribution is dealing with, in economical theory and practice, often discussed questions of efficient determination of the property rights, what have a direct influence on creating efficient corporate governance and consequences arising therefrom on companies functioning. The Czech Republic had a golden opportunity to pass through a process of new ownership arrangement in Czech economy, and thereby practically confirm or rebut the conclusions of a number of theoretical accesses dealing with these problems. One of the important results of efficient companies functioning in Cz.economy over the nineties was efficient and effective restructuring ensuring their future competitive strength. Within the contribution is analyzed to what degree the ownership form of the companies affects the extent and its efficiency of the restructuring with the help of simple models coming out of the theory of incomplete contracts and subsequently verified by the results that were reached in Czch Rep.
